By accessing or using Satclub's services, website, or mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf. Parents and guardians are responsible for the actions of their minor children when using our Services.

Satclub provides digital SAT preparation services, including but not limited to:

• Diagnostic assessments to identify skill levels
• Personalized four-week adaptive study plans
• Practice questions and full-length practice tests
• Progress tracking and analytics
• Optional tutoring services with certified tutors
• Parent and family progress reports

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

Certain Services require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription plan
• Authorize us to charge your payment method on a recurring basis until cancelled
• Understand that subscription fees are billed in advance and are non-refundable except as expressly stated

We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance. You may cancel your subscription at any time through your account settings.

Satclub offers a score improvement guarantee subject to specific eligibility requirements:

• Completion of the initial diagnostic assessment
• Adherence to at least 80% of assigned practice activities
• Completion of all scheduled reassessments
• Active participation for the full study period

Eligible students who do not see improvement may receive extended access or a partial refund as outlined in our guarantee policy. Full details are available in your account dashboard.

All content on Satclub, including but not limited to text, graphics, logos, images, audio clips, video, data, software, and other materials ("Content"), is owned by or licensed to Satclub and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works from our Content
• Use our Content for any commercial purpose without written consent
• Remove any copyright, trademark, or other proprietary notices
• Share, screenshot, or distribute practice questions or test materials

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Share your account credentials or allow others to access your account
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Upload viruses, malware, or other harmful code
• Engage in cheating, including using unauthorized aids during assessments
• Harass, threaten, or harm other users or our staff

If you use our tutoring services, you acknowledge that:

• Tutors are independent contractors, not employees of Satclub
• Sessions must be cancelled at least 24 hours in advance for a full refund
• Recording sessions without consent from all parties is prohibited
• Satclub facilitates connections but does not guarantee specific outcomes

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Services will meet your specific requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• Any specific score improvement will be achieved
• Results obtained from the Services will be accurate or reliable

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SATCLUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Satclub and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Services or violation of these Terms.

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on our platform. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
